Terms and Conditions

These Terms and Conditions ("Agreement") govern all services provided by Your Company Name ("Developer", "We", "Us") to the client ("Client", "You").

By requesting any service, the client agrees to these terms.

1. Services

We provide the following services:
  • Website design and development
  • Mobile application development
  • Desktop software development
  • IoT / Robotics / Embedded systems
  • Custom software solutions
  • System integration
  • Maintenance and support
  • Consulting and technical support

2. Engagement Models

2.1 Hourly Model

  • Client pays for actual hours worked.
  • Time logs may be provided.
  • Minimum billing time may apply.
  • Hourly rate may change with notice.

2.2 Fixed Price Model

  • Total cost agreed before work starts.
  • Only agreed features are included.
  • New features require new payment.
  • Milestones may be used.

2.3 Long-Term / Support Contract

  • Monthly or yearly payment.
  • Includes maintenance, fixes, updates.
  • Unused hours do not roll over unless agreed.
  • Priority support may require higher plan.

3. Project Scope

Only features written in the agreement will be delivered. Any of the following may require extra payment:
  • New features
  • Design changes
  • Platform change
  • Extra integrations
  • API changes

4. Payment Terms

  • Advance payment may be required.
  • Milestone payments may be required.
  • Late payment may stop work.
  • All payments are non-refundable after work begins.
  • Delivery may be paused until payment is complete.

5. Client Responsibilities

Client must:
  • Provide correct information
  • Provide content (text, images, logo)
  • Respond on time
  • Test when requested
  • Approve milestones

6. Third-Party Services

Projects may use:
  • Hosting providers
  • App stores
  • APIs
  • Payment gateways
  • Cloud services
  • Hardware suppliers
We are not responsible for:
  • API changes
  • Server failure
  • App store rejection
  • Internet problems
  • Hardware defects

7. IoT / Robotics / Hardware Projects

  • Hardware cost not included unless stated.
  • Warranty depends on supplier.
  • Physical damage not covered.
  • Client responsible for correct usage.
  • Electrical damage not covered.

8. Intellectual Property

  • Client owns final project after full payment.
  • Developer keeps rights to reusable libraries.
  • Developer may reuse general code.
  • Unpaid work remains property of developer.

9. Source Code

  • Source code delivered after full payment.
  • Partial payment = no source code.
  • Compiled apps may be delivered first.

10. Support & Maintenance

  • Free support may be limited.
  • After free period, support is paid.
  • Urgent fixes may cost extra.
  • Major upgrades are not free.

11. Delays

We are not responsible for delays caused by:
  • Late payment
  • Late feedback
  • Change request
  • Third-party issues
  • Force majeure

12. Cancellation

  • Client may cancel anytime.
  • Work done must be paid.
  • Advance not refundable.
  • Delivered work cannot be returned.

13. Limitation of Liability

We are not responsible for:
  • Loss of business
  • Loss of data
  • Loss of profit
  • Indirect damages
  • Security breach outside our control

14. Security

We try to build secure software, but no system is 100% secure. Client must maintain:
  • Passwords
  • Server security
  • Backups

15. Privacy

Client data will not be shared except:
  • When required for project
  • When required by law

16. Changes to Terms

We may update these terms anytime. New terms apply to new projects.

17. Governing Law

This agreement is governed by the laws of the country where the Developer operates, unless otherwise agreed.
